icddr,b invites applications from suitable candidates for the position of Legal Counsel with Regulatory & Legal Affairs under the Office of the Chief Operating Officer. The appointment will be made on a Fixed-term basis for 1 year, which is renewable depending on performance and availability of funds.
Duty Station – Dhaka
Salary – Annual Tk. 1,522,490/- inclusive of house rent and conveyance allowances with other admissible benefits.
Benefits/facilities –14.8% retirement fund contribution by icddr,b, children allowance @Tk.1,420/- per child per month, contributory healthcare support including dependent spouse and children, group life insurance. Facilities of canteen; and transport and daycare facilities subject to space availability.
Job Profile
  • Strategy Development, Planning and Organizing: Assist Head, Regulatory & Legal Affairs (R&LA) to develop and enforce organization’s regulatory compliance strategy and framework; Support Head, R&LA to the strategic and tactical regulatory and legal initiatives of the organization by setting up the Department of Regulatory and Legal Affairs; Acting as the Secondary legal advisor of icddr,b in all national and international affairs; contribute in the process of strategic planning and play a supportive role to the Head, R&LA; Lead all initiatives of R&LA in absence of the Head, R&LA in order to align organizational strategic decisions within the legal and regulatory framework and ensures icddr,b remains compliant;
  • Implement and oversight of regulatory compliance strategy: Participate with the Head, R&LA in the definition and development of corporate policies, procedures and programs for initiating, implementing and oversight of all regulatory compliance issues of icddr,b; Assist Head, R&LA to develop strategies and techniques to identify and mitigate potential legal, regulatory or compliance risks; Assist Head, R&LA to develop and maintain a systematic process of review to ensure compliance with regulatory laws and related codes of practice through initiating a comprehensive regulatory compliance monitoring program; ensure full compliance with Core Donor reviews; individually and on behalf of R&LA; Support new business/research objectives with regulatory strategic support, including technical writing and presentations; Provide clear and valid regulatory guidance to icddr,b personnel throughout the operational and development process; Keep current of all applicable national and international regulations; provide general counseling in consultation with the Head, R&LA related to domestic and international regulatory requirements and corporate governance in order to ensure internal and external regulatory compliance and framework are aligned with the domestic and international regulatory matters.
  • Legal advice and Administrative Affairs: Draft, review and advise on policies, procedures and SoPs of icddr,b; Draft, review and advise on by-laws, strategic documents; Advise on  ordinance and other legal provision; ensure to establish and influence strong ethical standard and legal compliance in the organization; Provide legal support to HR and Internal Oversight with investigations of non-compliance issues, including scientific misconducts and suggesting compliance measures to business partners; Assist Head, R&LA  with advising the organization on the litigation risks of possible business decisions, providing preventive counseling with respect to the legal risks associated with business practices; Provide legal expertise to other departments where needed; Promote due diligence and legal compliance for icddr,b through effective initiatives; Develop mechanism to monitor IP Rights, Tax/VAT and Customs related issues in consultation with Head, R&LA in order to ensure organization’s legal issues are operating in line with the strategic requirements.
  • Contract Management: Negotiate, draft, review and implement a wide variety of complex, multi-party agreements including financing agreements (grants and sub-grants), MoUs, MTAs, NDAs, Leases etc and their amendments/extensions; Conduct meetings independently with the PIs and senior administrative staff to provide guidance pertaining to the contracting process; Ensure efficient review process and ensure informed approval for all legal arrangements from proper authority; Work in close collaboration with the Contracts Manager and other in-house lawyers to implement a service oriented and client focused contract review system for optimum work flow; Assist Head, R&LA to develop and implement integrated sub-grant monitoring system for providing legal oversight of all sub-grants from icddr,b; Monitor all grants, including narrative reporting schedule, in close collaboration with the RA for ensuring compliance with donor’s requirements; Leading the coordination of closeout process in collaboration with RA and Finance in order to make robust legal contracts with minimum risk exposure to icddr,b.
  • People Management: Interview candidates and make hiring recommendations, if required; Promote a spirit of collegiality and gender diversity amongst team members and in the organization in order to build and develop an engaged and high performing team.
Requirements:
Education and Relevant Experience :
  • LL.M (Master of Laws) from a reputable university; preference will be given to a candidate who has been called as a Barrister-at-Law by any of the Inns. LL.B with a Postgraduate degree from a reputable university with significantly high level of experience would also be acceptable.
  • At least 3-5 years of legal experience gained through a combination of major law firm and in-house experience as a in-house counsel of reputable organization. Familiarity with International Law is a plus. Candidates trained on alternative dispute resolutions will be preferred.
